Graphic Codelab is a digital marketing and creative agency based in Greater Sudbury, Ontario, Canada, serving entrepreneurs and small to medium-sized businesses across Canada, the United States, and Latin America.

Quotes and proposals provided by Graphic Codelab are estimates based on the information available at the time and are valid for 30 days unless otherwise stated. A signed proposal, invoice, or written agreement (including email confirmation) constitutes acceptance of the scope, timeline, and pricing of a project. Work begins once a deposit, where required, has been received.

Each project includes a defined number of revision rounds, as outlined in your proposal or agreement. Requests that fall outside the agreed scope, timeline, or number of revisions may be subject to additional fees, quoted before work proceeds. Delays in providing feedback, content, or approvals may extend project timelines accordingly.
Upon full and final payment, clients receive ownership of the final approved deliverables created specifically for their project (such as final logo files, website code, or edited photographs), unless otherwise specified in a written agreement.

Clients are responsible for ensuring they have the legal right to provide any logos, text, images, or other materials submitted to us for use in a project, and agree to indemnify Graphic Codelab against claims arising from materials they provide.
Some Services may rely on third-party platforms (such as hosting providers, social media networks, AI tools, or automation software). Graphic Codelab is not responsible for outages, policy changes, or service interruptions caused by these third parties, though we will make reasonable efforts to mitigate their impact on your project.
We strive to deliver high-quality work, but the Site and our Services are provided "as is" without warranties of any kind, express or implied. We do not guarantee specific business outcomes, search engine rankings, social media growth, or sales results, as these depend on factors outside our control.
To the fullest extent permitted by law, Graphic Codelab shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or our Services. Our total liability for any claim related to a Service shall not exceed the total amount paid by the client for that specific Service.
Either party may terminate an ongoing engagement with written notice, as specified in the relevant agreement. Upon termination, the client is responsible for payment of all work completed up to the termination date. Graphic Codelab reserves the right to suspend or terminate access to the Site for any user who violates these Terms.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site or our Services after changes are posted constitutes acceptance of the revised Terms.
